Terms of Service

These Terms of Service ("Terms") govern access to and use of IssueClear (the "Service"). IssueClear is a product owned and operated by YY Digital. References to "IssueClear," "we," "us," or "our" mean YY Digital. By accessing or using the Service, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old, or the age of legal majority where you live, to use the Service. You are responsible for maintaining the confidentiality of your account access, including magic links, verification codes, and third-party sign-in methods. If you invite clients or collaborators, you are responsible for their access to your projects and for removing access when it is no longer appropriate.

You must provide accurate account information and keep it up-to-date. You may not use the Service for anyone else in a way that violates law, these Terms, or that person's rights.

2. Service description

IssueClear is a shared issue tracking service for freelancers and their clients. The Service supports projects, issues, comments, status tracking, approvals, file attachments, exports, mobile app access, email notifications, push notifications, and email-based intake where configured. Features may differ by plan and may change over time.

The Service may be offered in beta or with experimental features. Beta and experimental features may be modified, suspended, or discontinued and may be less reliable than generally available features.

3. Plans, trials, billing, and taxes

Paid subscriptions are billed in advance on a recurring monthly basis unless the checkout or billing flow says otherwise. Plan features, file-size limits, storage limits, and prices are shown on the pricing page or in the billing flow and may change for future billing periods.

Paddle acts as merchant of record for paid subscriptions. Paddle processes payments, calculates applicable taxes, may appear on your payment statement, and may provide checkout, invoice, refund, payment-method, and subscription-management workflows. We do not store full payment card details.

Free trials may end automatically. If a trial ends without a paid subscription, the account or affected projects may become read-only or lose access to paid features.

4. Changes, cancellation, and refunds

You can manage or cancel an active subscription through the Service's billing management experience where available. In the current implementation, subscription cancellation is scheduled for the next billing period unless the billing flow or Paddle states otherwise. Account deletion may request immediate subscription cancellation.

Plan changes may take effect immediately or at the end of the current billing period, and prorations or other billing adjustments may apply through Paddle. Refunds are handled according to our Refund and Cancellation Policy.

5. Customer content

You retain ownership of content you submit to the Service, including project data, client names, issues, comments, approvals, attachments, email intake content, and exported data ("Content"). You grant IssueClear a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and back up Content solely to provide, secure, support, and improve the Service.

You are responsible for ensuring that you have the rights and notices needed to submit Content and share it with invited users. Do not upload unlawful, infringing, malicious, or highly regulated data, including medical, payment card, government identifier, biometric, children's, or other information of special sensitivity, unless we have agreed in writing that the Service is appropriate for that use.

6. Acceptable use

You must comply with our Acceptable Use Policy. You may not misuse the Service, interfere with its operation, attempt unauthorized access, upload malware, send spam, harass others, violate intellectual-property rights, or use the Service in a way that creates legal, security, or operational risk for us, our users, or our providers.

7. Third-party services

The Service uses third-party providers for functions such as authentication, billing, hosting, data storage, email delivery, file storage, analytics, push notifications, and mobile app distribution. Your use of those services may be subject to their own terms and policies. Our current subprocessor list is available at /subprocessors.

8. Intellectual property and feedback

The Service, software, design, trademarks, documentation, and related materials are owned by IssueClear, YY Digital, or their licensors. Except for the limited right to use the Service under these Terms, no rights are transferred to you. You may not copy, reverse engineer, resell, or create derivative services from the Service except where law allows this despite a contractual restriction.

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

9. Suspension and termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, or use the Service in a way that may harm others. You may delete your account from the account settings where available. Deletion may remove owned projects and associated data, subject to lawful retention, backups, fraud prevention, billing records, legal claims, and technical limitations.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted or error-free operation.

11. Limitation of liability

To the maximum extent permitted by law, IssueClear and YY Digital will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.

To the maximum extent permitted by law, our total aggregate liability for claims related to the Service is limited to the greater of USD 100 or the amounts actually paid to us for the Service during the three months before the event giving rise to the claim. These limits do not exclude liability that cannot be excluded or limited under applicable law.

12. Indemnification

You will indemnify and hold IssueClear, YY Digital, and their personnel harmless from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your Content, your use of the Service, your breach of these Terms, or your violation of law or third-party rights.

13. Governing law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts in Israel will have jurisdiction over disputes arising from or related to these Terms or the Service, unless mandatory consumer or other applicable law requires a different forum.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice by posting the updated Terms, updating the date above, or using another appropriate notice method. Continued use after the effective date means you accept the updated Terms.
